1. Electronic Record Notice & Acceptance of Terms

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder, as applicable, as well as the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing the rules and regulations, privacy policy, and terms of use for access or usage of the ReDrivo website (redrivo.com), customer mobile applications, partner driver mobile applications, and garage partner CRM management portals (collectively, the "Platform").

The Platform is owned and operated by [Company Legal Name Placeholder] (hereinafter referred to as "ReDrivo", "Company", "we", "us", or "our"). By registering for, downloading, browsing, accessing, or using the Platform in any manner, you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms") and all incorporated policies. If you do not agree to these Terms, you must immediately cease accessing and using the Platform.

2. Nature of the Platform as an Intermediary Marketplace

ReDrivo operates strictly as a digital technology intermediary and marketplace. The Platform provides digital telematics, dispatch software, location-based matchmaking, job card synchronization, and automated payment settlement facilitation.

ReDrivo does not operate as a transportation operator, common carrier, taxi fleet owner, or motor vehicle repair facility. ReDrivo does not own the vehicles serviced or operated on the Platform. All transportation, chauffeur, vehicle transit, and automotive repair services are delivered directly by independent third-party Driver Partners or independent Garage Partners.

3. User Categories and Specific Obligations

The Platform serves three distinct categories of participants, each subject to specific rights and binding obligations:

A. Car Owners & Customers ("Customers")

  • Vehicle Documentation: Customers represent that any vehicle provided for driver hire, garage pickup, or peer rental is legally owned by them (or operated with lawful consent) and possesses a valid Registration Certificate (RC), active Comprehensive Motor Insurance, and a valid Pollution Under Control (PUC) certificate.
  • Roadworthiness & Lawful Use: The vehicle must be in roadworthy mechanical condition, free from structural defects that could jeopardize safety, and must not contain any hazardous, illegal, or contraband items under the laws of India.
  • Inspection Participation: Customers agree to participate in the in-app digital inspection process at the beginning and end of each booking (photographic recording of exterior condition, fuel levels, and timestamped odometer reading).
  • Payment Obligations: Customers agree to pay the complete calculated booking fare, including any applicable parking fees, toll charges incurred during transit, and itemized garage repair quotes authorized via the app.

B. Driver Partners ("Marshals")

  • Independent Contractor Status: Driver Partners operate as independent freelancers and service professionals. Nothing in these Terms shall be construed as creating an employer-employee, agency, or joint venture relationship between ReDrivo and any Driver Partner.
  • Licensing & Qualifications: Driver Partners must hold a valid, unexpired Light Motor Vehicle (LMV) Driving Licence issued by an appropriate Regional Transport Office (RTO), pass background checks, and maintain zero criminal convictions.
  • Road Safety & Zero Tolerance: Driver Partners must strictly comply with the Motor Vehicles Act, 1988, traffic regulations, and speed limits. ReDrivo enforces a strict zero-tolerance policy regarding alcohol consumption, narcotics, and reckless driving.
  • Mandatory Digital Inspection: Driver Partners must complete the mandatory digital vehicle inspection and odometer snapshot within the partner app prior to moving any customer car and upon return handover.
  • Payout Choice: Driver Partners may choose between the zero-commission subscription pass (fixed daily or weekly access fee) or the pay-per-trip platform fee model, subject to the transparent terms displayed in the partner app.

C. Garage & Workshop Partners ("Garage Partners")

  • Business Legitimacy & KYC: Garage Partners represent that they operate an authorized commercial auto repair facility with valid GSTIN registration, local municipal trade licences, and appropriate premises security.
  • Digital Estimate Authorization: Garage Partners must upload transparent, itemized diagnostic quotes and parts lists to the ReDrivo CRM. No additional or non-standard work may be executed without explicit digital approval from the customer via the Platform.
  • Parts Authenticity & Workmanship: Garage Partners warrant that all replacement parts used are genuine OEM/OES components or clearly disclosed aftermarket parts, and that repair workmanship meets standard automotive safety benchmarks.
  • Custodial Responsibility: The Garage Partner assumes full custodial responsibility for the safety, security, and care of customer vehicles while present on workshop premises.

4. Service Delivery, Facilitation vs. Execution, and Limitation of Liability

ReDrivo’s responsibility is limited strictly to the provision and maintenance of the digital software Platform. ReDrivo facilitates matching, location telemetry, communication, and digital billing workflows.

To the maximum extent permitted by applicable Indian law:

  • ReDrivo is not liable for the actual physical driving of vehicles, acts of third parties on the road, traffic delays, or force majeure events.
  • ReDrivo is not liable for pre-existing mechanical wear-and-tear, latent vehicle engine defects, or electrical failures that are unrelated to active transit by a driver.
  • In any event, ReDrivo’s total aggregate liability arising out of or related to any individual booking shall not exceed the total platform facilitation fee collected by ReDrivo for that specific booking.

5. Indemnification

You agree to defend, indemnify, and hold harmless [Company Legal Name Placeholder], its affiliates, directors, officers, employees, and licensors from and against any and all claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable legal fees) arising out of or resulting from:

  • Your violation of these Terms or any applicable statutory regulation.
  • Any traffic violation, challan, penalty, or criminal act committed during the provision or receipt of services.
  • Your failure to maintain valid vehicle documentation, comprehensive insurance, or commercial registrations.
  • Any false representation or fraudulent submission of identity, KYC, or vehicle documents.

6. Intellectual Property Ownership

All intellectual property rights in the Platform, including but not limited to software code, mobile applications, user interface designs, logos, trademarks, database architecture, trade secrets, and visual assets, are and shall remain the exclusive property of [Company Legal Name Placeholder]. Users are granted a limited, revocable, non-exclusive, non-transferable licence to access the Platform strictly for personal or authorized business use in accordance with these Terms.

7. Account Suspension and Termination

ReDrivo reserves the right to immediately suspend, restrict, or terminate user accounts, with or without prior notice, upon occurrence of any of the following triggers:

  • Submission of forged, altered, or fraudulent identity/KYC/vehicle documents.
  • Repeated or severe customer or driver safety complaints, harassment, or verbal/physical misconduct.
  • Refusal by a driver or customer to follow mandatory digital vehicle inspection protocols.
  • Non-payment of outstanding trip fares, platform subscription fees, or invoice balances.
  • Any activity that compromises the security, stability, or integrity of the Platform.

8. Governing Law and Jurisdiction

These Terms and all claims or disputes arising out of or in connection with the Platform shall be governed by and interpreted in accordance with the substantive laws of India.

Jurisdiction Clause:

Subject to applicable dispute resolution procedures, any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in [Registered Office Placeholder — Kolkata, West Bengal, subject to confirmation with legal counsel], and each party irrevocably submits to the exclusive jurisdiction of such courts.

9. Data Protection & Privacy Reference

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, process, protect, and handle your personal identity data, location telematics, digital vehicle inspection photographs, and transaction history.
